Procedure for Incorporation of One Person Company, Annual Compliance

DOCUMENTS REQUIRED FOR INCORPORATION


  1. PAN CARD  of proposed member and director(s).
  2. Proof of Identity ( Driving License, Aadhar Card or Voter ID or Passport or Bank Pass Book)
  3. Proof of Residence ( Latest electricity bill or telephone bill or Bank statement)
  4. Proof of Office Registered Address ( Latest  utility bill or rent agreement)
  5. NOC from owner in case of rented place.
  6. Proof of identity of authorized signatory for opening bank account.
  7. Proof of address of authorized signatory for opening bank account.
  8. Passport size photograph of authorized signatory.

PROCEDURE FOR INCORPORATION

Application for registration of OPC can be made through a single application for name reservation/allotment of DIN/ Incorporation of new company/Allotment of PAN and TAN.

Single Application can be made by filing SPICe + (with RUN or Without RUN) in SPICe+ FORM-INC-32 along with other linked form like 

  1. e-MOA (INC-33), 
  2. e-AOA (INC-34), 
  3. AGILE PRO & INC-9 (declaration that the subscribers and directors will have to submit to memorandum of company).

STEP-1 Prepare & filing of Spice+ FORM INC 32

  • Attachment to SPICe+ FORM INC-32
    • DIR-2- Consent to act as director duly signed by first director(s)
    • Proof of identity and residence of subscriber(s) 
    • Proof of identity and residence of nominee 
    • Proof of registered office address 
    • No objection Certificate for using premises for registered office (In case of rented place)
STEP-2 Preparing & filling of e-MOA (INC-33)
STEP-3 Preparing & filling of e-MOA (INC-34)
STEP-4 Preparing & filling of INC-9 declaration of first director(s)
STEP-5 Preparing & filling of AGILE PRO

  • Attachments to AGILE-PRO
    • Proof of identity of authorized signatory for opening bank account 
    • Proof of address of authorized signatory for opening bank account 
    • Passport size photo of authorized signatory 
    • Specimen signature of authorized signatory

STEP-6 Once the forms are filled completely, download the pdf forms, attached DSC of first director(s) along with professional and upload the same in following sequence:
  • SPICE+ Form INC-32 
  • e-MOA 
  • e-AOA 
  • AGILE-PRO 
  • INC-9 (7) 
Registrar will verify the same and if satisfied will register the Company and issue CERTIFICATE OF INCORPORATION.
